Welcome to our platform!

This platform has technologies that enable people to connect with each other, build communities, and grow socially. These Terms govern your use of Social Standard, Tapp, and the other products, platforms, features, apps, services, technologies, and software associated with Social Standard, except where we expressly state that separate terms (and not these) apply. These technological products are provided to you by Social Standard, Inc. and partners.

 

*We do not currently run ads on all of our platforms, and is very likely that are not running ads in the platform you are currently using yet, therefore, the following mentions about ads refers to when we do begin to show you ads on the platform you are using. 


We don’t charge you to use this platform or the other products and services covered by these Terms. Instead, businesses and organizations pay us to show you ads for their products and services. By using our Products, you agree that we can show you ads that we think will be relevant to you and your interests. We use your personal data to help determine which ads to show you and also to enhance user experience.

We don’t sell your personal data to advertisers, and we don’t share information that directly identifies you (such as your name, pictures, email address or other contact information) with advertisers unless you give us specific permission. Instead, advertisers can tell us things like the kind of audience they want to show their ads to, and we show those ads to people who may be interested. We provide advertisers with reports about the performance of their ads that help them understand how people are interacting with their content. See Section 2 below to learn more.

Our Data Policy explains how we collect and use your personal data to determine some of the ads you see and internally determine how to enhance features to provide enhanced user experience overall. You can also go to your settings at any time to terminate account and data related to your account (doing this will make you have to recreate a Standard Account as a completely new user in the case that you wish to use a collaborating platform again).

Our mission is to give people the power to build community and bring the world closer together through continuous innovative ways. To help advance this mission, we provide the Products and services described below to you:

 

Provide a personalized experience for you:

 

Your experience on a Social Standard powered platform is unlike anyone else's: from the posts, stories, events, ads, and other content you see in GeoChat™ or our video platforms to the Pages and accounts that you follow and other features you might use, such as Tapp, NearMe, ‘Help!’ and others. We use the data we have - for example, about the connections you make, the choices and settings you select, and what you share and do on and off our Products - to personalize your experience.

 

Connecting you with people and organizations that you care about:

 

We help you find and connect with people, groups, businesses, communities, organizations, and others that matter to you across the Social Standard network of platforms you use. We use the data we have to make suggestions for you and others - for example, conversations to join, events to attend, Pages to follow or who to tapp, restaurants you may like, and people you may want to become friends with. Stronger ties make for better communities, and we believe our services are most useful when people are connected to people, groups, and organizations they can relate to and care to know more about.

 

Empower you to express yourself and communicate about what matters to you:

 

There are many ways to express yourself on Social Standard powered platforms such as this, and to communicate with friends, family, and others about what matters to you - for example, sharing status updates, audios, photos, videos, and stories across the platform’s Products you use, sending messages to a friend or several people, creating events or groups, or adding content to your profile. We have also developed and are continuing to explore new ways for people to use technology, to create and share more expressive and engaging actual useful content to you and other community members, including friends.

 

Help you discover content, products, and services that may interest you:

 

We show you ads, offers, and other sponsored content to help you discover content, products, and services that are offered by the many businesses and organizations that use Social Standard networks and other associated platforms. Section 2 below explains this in more detail.

 

Combat harmful conduct and protect and support our community:

 

People will only build community on this platform if they feel safe. We employ dedicated teams and develop innvoative systems to detect misuse of our associated platforms, harmful conduct towards others, and situations where we may be able to help support or protect our community. If we learn of content or conduct like this, we will take appropriate action - for example, offering help, removing content, removing or restricting access to certain features, disabling an account, or contacting law enforcement. We share data with other internal Social Standard powered platforms’ companies when we detect misuse or harmful conduct by someone using one of our associated platforms. This is done in order to prevent a harmful user to continue harming other users on other Social Standard powered platforms.

 

Use and develop advanced technologies to provide safe and functional services for everyone:

 

We use and develop advanced technologies - such as artificial intelligence, machine learning systems, and soon augmented reality - so that people can use these platforms safely regardless of geographic location. We also build sophisticated network and communication technology to help more people stay safe in more and more areas consistently. And we develop automated systems to improve our ability to detect and remove abusive and dangerous activity that may harm our community and the integrity of our platforms.

 

Research ways to make our services better:

 

We engage in research to develop, test, and improve these platforms. This includes analyzing the data we have about our users and understanding how people use each associated platform, for example by conducting surveys, testing and troubleshooting new features. Our Data Policy explains how we use data to support this research for the purposes of developing and improving our services. We do NOT share data with exterior companies whom these terms and Data Policies do not apply to.

 

Provide consistent and seamless experiences across the Social Standard powered platforms:

 

Our network of platforms help you find and connect with people, groups, businesses, organizations, and others that are important to you. We design our systems so that your experience is consistent and seamless across the different Social Standard powered platforms that you use. For example, we use data about the people you engage with on Tapp to make it easier for you to connect with them on Advizor or iCee, and we enable you to communicate with a host you visited on E-Vents. All for the purpose of enhancing your overall user experience across the entire network if and when you decide to also use other platforms within the network.

 

Enable global access to our services:

 

To operate our global service, we need to store and distribute content and data in our data centers and systems around the world, including outside your country of residence. This infrastructure may be operated, maintained, and/or controlled by Social Standard, Inc., and/or its inner affiliates.

2. How our services are funded

Instead of paying to use Social Standard powered platforms and the other products and services we, and our associated companies are going to offer, by using the Social Standard powered platforms covered by these Terms, you agree that we can show you ads that businesses and organizations pay us to promote on the Social Standard powered platforms. We use your personal data, such as information about your activity and interests, to show you ads that are more relevant to you.

Protecting people's privacy is central to how we've designed our ad system. This means that we can show you relevant and useful ads without telling advertisers who you are. We don't sell your personal data, now or in the future. We allow advertisers to tell us things like their business goal, and the kind of audience they want to see their ads (for example, people between the age of 18-35 who like cycling). We then show their ad to people who might be interested.

We also provide advertisers with reports about the performance of their ads to help them understand how people are interacting with their content on and off SS powered platforms. For example, we provide general demographic and interest information to advertisers (for example, that an ad was seen by a woman between the ages of 25 and 34 who lives in Austin, Texas, USA and likes working out) to help them better understand their audience. We don’t share information that directly identifies you (information such as your name or email address that by itself can be used to contact you or identifies who you are) unless you give us specific permission. 

We collect and use your personal data in order to provide the services described above to you. You can learn details about how exactly we collect and use your data in our Privacy Policy. Your data privacy is our main priority and we keep that in mind over the types of ads and advertisers you see, and the types of information we use to determine which ads we show you.

3. Your commitments to the Social Standard and the community within

We provide these services to you and others to help advance our mission. In exchange, we need you to make the following commitments:

 

1. Who can use Social Standard powered platforms

 

When people stand behind their opinions and actions, our community is safer and more accountable. For this reason, you must:

  • Use the same full name that you have always used in everyday life.

  • Provide accurate information about yourself.

  • Create only one account (your own) and use your GeoChat and other feeds for personal purposes (non commercial).

  • Not share your password, give access to your Universal Standard Account to others, or transfer your account to anyone else (without our permission).

We try to make SS Powered Platforms broadly available to everyone, but you cannot use this platform if:

  • You are under 13 years old.

  • You are a convicted sex offender.

  • We've previously disabled your account for violations of our Terms or Policies.

  • We've previously disabled certain features on your account for violations of our Terms or Policies.

  • You are prohibited from receiving our products, services, or software under applicable laws.

 

2. What you can share and do on our Social Standard Powered Platforms

 

We want people to use SS network platforms' communities to express themselves and to share content that is important to them, but not at the expense of the safety and well-being of others or the integrity of our community. You therefore agree not to engage in the conduct described below (or to facilitate or support others in doing so):

  1. You may not use our associated platforms to do or share anything:

    • That violates these Terms, our Community Standards, and other terms and policies that apply to your use of this platform.

    • That is unlawful, misleading, discriminatory or fraudulent.

    • That infringes or violates someone else's rights, including their intellectual property rights.

    • That purposely directed to terrorize(verbally or in any other form) others on this platform

  2. You may not upload viruses or malicious code or do anything that could disable, overburden, or impair the proper working or appearance of our associated platforms.

  3. You may not access or collect data from our Products using automated means (without our prior permission) or attempt to access data you do not have permission to access.

 

We can remove or restrict access to content that is in violation of these provisions. In some cases, content that is in violation of these provisions and/or community standards will be left for regional community members to vote on whether, in their opinion, it is in violation of these standards or not. In this case it will be pinned at top of the feed for 24 to 48 hours(or until voted on) and content will temporarily be taken off until results are in. If majority of fellow community members vote that it is in violation, then the content will be permanently taken off and you may lose some functional privileges'(this is not always the case, however we reserve the right to take anything down even if the voting is positive(which we will most likely not do)).

If we remove content that you have shared in violation of our Community Standards, we’ll let you know and explain any options you have to request another review, unless you seriously or repeatedly violate these Terms or if doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems or Products; where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons.

To help support our community, we encourage you to report content or conduct that you believe violates your rights (including intellectual property rights) or our terms and policies.

 

3. The permissions you give us

 

We need certain permissions from you to provide our services:

  1. Permission to use content you create and share: Some content that you share or upload, such as photos or videos, may be protected by intellectual property laws.

    You own the intellectual property rights (things like copyright or trademarks) in any such content that you create and share on any Social Standard associated platforms you use. Nothing in these Terms takes away the rights you have to your own content. You are free to share your content with anyone else, wherever you want.

    However, to provide our services we need you to give us some legal permissions (known as a ‘license’) to use this content. This is solely for the purposes of providing and improving our Products and services as described in Section 1 above.

    Specifically, when you share, post, or upload content that is covered by intellectual property rights on or in connection with our Products, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content (consistent with your privacy and application settings). This means, for example, that if you share a photo on a SS Powered Platforms, you give us permission to store, copy, and share it with others (again, consistent with your settings) such as service providers that support our service or other Social Standard associated platforms you use. This license will end when your content is deleted from our systems.

    You can delete content individually or all at once by deleting your account.

    When you delete content, it’s no longer visible to other users, however it may continue to exist elsewhere on our systems where:

    • immediate deletion is not possible due to technical limitations (in which case, your content will be deleted within a maximum of 90 days from when you delete it);

    • your content has been used by others in accordance with this license and they have not deleted it (in which case this license will continue to apply until that content is deleted); or

    • where immediate deletion would restrict our ability to:

      • investigate or identify illegal activity or violations of our terms and policies (for example, to identify or investigate misuse of our Platforms or systems);

      • comply with a legal obligation, such as the preservation of evidence; or

      • comply with a request of a judicial or administrative authority, law enforcement or a government agency;

    in which case, the content will be retained for no longer than is necessary for the purposes for which it has been retained (the exact duration will vary on a case-by-case basis).

    In each of the above cases, this license will continue until the content has been fully deleted.

  2. Permission to use your name, profile picture, and information about your actions with ads and sponsored content: You give us permission to use your name and profile picture and information about actions you have taken on Facebook next to or in connection with ads, offers, and other sponsored content that we display across our Products, without any compensation to you. For example, we may show your friends that you are interested in an advertised event or have liked a Page created by a brand that has paid us to display its ads on Facebook. Ads like this can be seen only by people who have your permission to see the actions you've taken on a SS Powered Platform.

  3. Permission to update software you use or download: If you download or use our software, you give us permission to download and install updates to the software where available.

4. Limits on using our intellectual property

If you use content covered by intellectual property rights that we have and make available in our Products (for example, images, designs, videos, or sounds we provide that you add to content you create or share on a Social Standard Powered Platform), we retain all rights to that content (but not yours). You can only use our copyrights or trademarks (or any similar marks) as expressly permitted with our prior written permission. You must obtain our written permission (or permission under an open source license) to modify, create derivative works of, decompile, or otherwise attempt to extract source code from us.

4. Additional provisions

1. Use of the Services

The Services, and the information and content available on them, are protected by applicable intellectual property laws. Unless subject to a separate license between you and Social Standard, inc., your right to use any and all Services is subject to the Agreement.

1.1 Mobile App License

Subject to your compliance with the Agreement, Social Standard grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install and use a copy of the Mobile App on a single mobile device that you own or control and to run such copy of the Mobile App solely for your own personal purposes. Furthermore, with respect to any Mobile App accessed through or downloaded from the Apple App Store (an “App Store Sourced Application”), you will only use such App Store Sourced Application (a) on an Apple-branded product that runs iOS or macOS (Apple’s proprietary operating systems) and (b) as permitted by the “Usage Rules” set forth in the Apple App Store Terms of Service. Notwithstanding the first sentence in this Section 1.1, with respect to any Mobile App accessed through or downloaded from the Google Play store (a “Google Play Sourced Application”), you may have additional license rights with respect to use of such Google Play Sourced Application on a shared basis within your designated family group.

1.2 Updates

You understand that the Services are evolving. As a result, Social Standard and/or other company associated with platform may require you to accept updates to the Services that you have installed on your mobile device. You acknowledge and agree that Social Standard and/or other company associated with platform may update the Services with or without notifying you. You may need to update third-party software from time to time in order to use the Services.

We hope that you will continue using our Products, but if you do not agree to our updated Terms and no longer want to be a part of the Social Standard community, you can delete your account at any time in settings. *Note: in order to prevent community members, whom have violated terms and whom have some temporary disabled functions, from deleting their account, just to try to ‘start over’, detail login information such as confirmation phone number and email will stay in our systems for at least 90 days(if the violation was unlawful, then perhaps longer in order to keep all community members safer; this is also the case for uploaded profile pictures in order to protect the whole of the community).

1.3 Certain Restrictions

The rights granted to you in the Agreement are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit any of the Services; (b) you shall not frame or utilize framing techniques to enclose any trademark, logo, or other parts of the Services (including images, text, page layout or form); (c) you shall not use any metatags or other “hidden text” using Social Standard’s or the utilized platform's name or trademarks; (d) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Services except to the extent the foregoing restrictions are expressly prohibited by applicable law; (e) you shall not use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to “scrape” or download data from any web pages contained in the Services (except that we grant the operators of public search engines revocable permission to use spiders to copy materials from the Services for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (f) except as expressly stated herein, no part of the Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; and (g) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in the Services. Any future release, update or other addition to the Services shall be subject to the Agreement. Social Standard, its associated platform suppliers and service providers reserve all rights not granted in the Agreement.

1.4 Social Standard's system communications

If you provide us with your mobile telephone number, we may use your phone number to send you text messages (“SMS Messages”) for authentication and other operational communications concerning your Account or your use of the Services. You represent that you are the subscriber of the mobile service at any mobile telephone number you provide to us, or that you are otherwise authorized by the subscriber to receive SMS Messages from us at such mobile number in accordance with these Terms of Use. Message and data rates charged by your wireless carrier may apply.

 

2. Registration

 

2.1 Registering Your Account

In order to access certain features of the Services, you may be required to become a Registered User. For purposes of the Agreement, a “Registered User” is a user who has registered an account with Social Standard's Universal Standard Account System (“Account”). In order to register for an Account, you must provide (a) true full name (b) a valid telephone number, and (c) your age (d) valid email address (e) gender. Please note that your Account may be used to access all of the Services, including the Tapp Mobile App and the Advizor Mobile App, among all of the other Social Standard associated Mobile Apps.

2.2 Registration Data

In registering an Account, you agree to (a) provide true, accurate, current and complete information about yourself as prompted by the registration form (the “Registration Data”); and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You represent that you are (i) at least thirteen (13) years old; (ii) of legal age to form a binding contract; and (iii) not a person barred from using the Services under the laws of the United States, your place of residence or any other applicable jurisdiction. You are responsible for all activities that occur under your Account. You agree that you shall monitor your Account to restrict use by any other persons, including minors, and you will accept full responsibility for any such unauthorized use. You may not share your Account login or password with anyone, and you agree to (y) notify Social Standard immediately of any unauthorized use of your password or any other breach of security; and (z) exit from your Account, before logging into a new acquired device. If you provide any information that is untrue, inaccurate, not current or incomplete, or Social Standard has reasonable grounds to suspect that any information you provide is untrue, inaccurate, not current or incomplete, Social Standard has the right to suspend or terminate your Account and refuse any and all current or future use of the Services (or any portion thereof). You agree not to create an Account using a false identity or information, or on behalf of someone other than yourself. You agree that you shall not have more than one Account at any given time and that Social Standard may merge any duplicate Accounts you may have created through different portions of the Services, including any associated data or Content (as defined below). You agree that if you have previously created an Account for one portion of the Services, Social Standard may use your Registration Data to grant access to other portions of the Services. You agree not to create an Account or use the Services if you have been previously removed by Social Standard, or if you have been previously banned from any of the Services/Platforms.

2.3 Your Account

Notwithstanding anything to the contrary herein, you acknowledge and agree that you shall have no ownership or other property interest in your Account, and you further acknowledge and agree that all rights in and to your Account are and shall forever be owned by and inure to the benefit of Social Standard.

2.5Account suspension or termination

We want the Social Standard Universe to be a place where people feel welcome and safe to express themselves and share their thoughts and ideas.

If we determine that you have clearly, seriously or repeatedly breached our Terms or Policies, including in particular our Community Standards, we may suspend or permanently disable access to your account. We may also suspend or disable your account if you repeatedly infringe other people’s intellectual property rights or where we are required to do so for legal reasons.

Where we take such action we’ll let you know and explain any options you have to request a review, unless doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems or associated platforms; or where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons.

If you delete or we disable your account, these Terms shall terminate as an agreement between you and us, but the following provisions will remain in place: 3, 4, 5.2-5.5.

 

3. Limits on liability

 

We work hard to provide the best Products we can and to specify clear guidelines for everyone who uses them. Our Products, however, are provided "as is," and we make no guarantees that they always will be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections. To the extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline) or any content they share (including offensive, inappropriate, obscene, unlawful, and other objectionable content).

We cannot predict when issues might arise with our systems and/or associated platforms. Accordingly, our liability shall be limited to the fullest extent permitted by applicable law, and under no circumstance will we be liable to you for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, Social Standard, and/or Social Standard associated platforms, even if we have been advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms or the Social Standard, and/or associated companies will not exceed the greater of $100 or the amount you have paid us in the past twelve months.

 

4. Disputes

 

We try to provide clear rules so that we can limit or hopefully avoid disputes between you and us. If a dispute does arise, however, it's useful to know up front where it can be resolved and what laws will apply.

For any claim, cause of action, or dispute you have against us that arises out of or relates to these Terms or the SS powered platforms ("claim"), you agree that it will be resolved exclusively in the U.S. District Court for the Central District of Texas or a state court located in Brazos County. You also agree to submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim, and that the laws of the State of Texas will govern these Terms and any claim, without regard to conflict of law provisions.


5. Other

  1. These Terms (formerly known as the Statement of Rights and Responsibilities) make up the entire agreement between you and Social Standard, Inc. regarding your use of our systems or associated platforms. They supersede any prior agreements.

  2. If any portion of these Terms is found to be unenforceable, the remaining portion will remain in full force and effect. If we fail to enforce any of these Terms, it will not be considered a waiver. Any amendment to or waiver of these Terms must be made in writing and signed by us.

  3. You will not transfer any of your rights or obligations under these Terms to anyone else without our consent.

  4. You may designate a person (called a legacy contact) to manage your account if it is memorialized. Only your legacy contact or a person who you have identified in a valid will or similar document expressing clear consent to disclose your content upon death or incapacity will be able to seek disclosure from your account after it is memorialized.

  5. These Terms do not confer any third-party beneficiary rights. All of our rights and obligations under these Terms are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.

  6. You should know that we may need to change the username for your account in certain circumstances (for example, if someone else claims the username and it appears unrelated to the name you use in everyday life).

  7. We always appreciate your feedback and other suggestions about our products and services. But you should know that we may use them without any restriction or obligation to compensate you, and we are under no obligation to keep them confidential.

  8. We reserve all rights not expressly granted to you.

5. Responsibility for Content

Our Platform's mission is to inspire creativity and bring joy and confidence to the community. We are connecting communities all over the globe together, where users can create and share authentically, discover the world around them, and connect with others anywhere they are. We are also committed to keeping this community safe. Our Community Guidelines reflect our values and define a common code of conduct on our platform. These guidelines also allow our community to help maintain a safe shared space.

This platform is an inclusive platform built upon the foundation of creative expression. We encourage users to celebrate what makes them unique, while finding a community that does the same. We deeply value that our users come from a huge breadth of nationalities and cultures, and we take into account the cultural norms and local regulations of the countries we operate in.

Offering a safe and supportive environment is our top priority. We believe that feeling safe is essential to helping people feel comfortable with expressing themselves openly and creatively. We also aim to cultivate an environment for authentic interactions by keeping deceptive content and accounts off our platform.

Our values form the foundation of our Community Guidelines. We remove content including video, audio, image, and text that violates our Community Guidelines, and suspend or ban accounts involved in severe or repeated violations. Under certain circumstances, we will go one step further and report the accounts to relevant legal authorities to keep our community safe.

Our Community Guidelines apply to everyone, and to everything shared on this platform. They provide general guidance on what is and what is not allowed on the platform. We also recognize that some content that would normally be removed per our guidelines could have value to the public. Therefore, we may allow exceptions under certain circumstances, as described in the sections below.

We update our Community Guidelines from time to time to evolve with community behavior, mitigate emerging risks, and keep this platform a safe place for creativity and joy.

5.1 Types of Content

You acknowledge that all any information, data, text, software, photographs, graphics, messages, tags and other materials accessible through the Services (collectively, “Content”) is the sole responsibility of the party from whom such Content originated. This means that you, and not Social Standard(or companies associated with platform), are entirely responsible for all Content that you upload, post, transmit or otherwise make available through the Services (“Your Content”), and that you and other Registered Users of the Services, and not Social Standard(or companies associated with platform), are similarly responsible for all Content that you and they make available through the Services (“User Content”).

5.2 No Obligation to Pre-Screen Content

You acknowledge that Social Standard has no obligation to pre-screen User Content, although Social Standard reserves the right in its sole discretion to pre-screen, refuse, or remove any User Content, including where it is required to do so under applicable law. By entering into the Agreement, you hereby provide your irrevocable consent to Social Standard’s monitoring of Your Content, subject always to Social Standard’s Privacy Policy. You acknowledge and agree that you have no expectation of privacy concerning the transmission of Your Content, including without limitation chat or text communications which have been reported to us by another user of the Services as potentially being in violation of the Agreement. In the event that Social Standard pre-screens, refuses, or removes any of Your Content, you acknowledge that Social Standard will do so for Social Standard’s benefit, not yours. Without limiting the foregoing, Social Standard shall have the right to remove any of Your Content that violates the Agreement or is otherwise objectionable.

3.3 Storage

Social Standard has no obligation to store any of Your Content. Social Standard has no responsibility or liability for the deletion or accuracy of any User Content, including Your Content; the failure to store, transmit or receive transmission of any User Content; or the security, privacy, storage, or transmission of other communications originating with or involving use of the Services. Certain Services may enable you to specify the level at which such Services restrict access to Your Content. You are solely responsible for choosing the appropriate level of access to Your Content. If you do not so choose, the Services may default to the most permissive setting. You agree that Social Standard may reproduce Your Content posted on one Mobile App to the other Mobile App. You further agree that Social Standard retains the right to create reasonable limits on Social Standard’s use and storage of User Content, including Your Content, such as limits on file size, storage space, processing capacity, and similar limits as determined by Social Standard in its sole discretion.

6. Ownership

6.1 Services

Except with respect to Your Content and other User Content, you agree that Social Standard and its suppliers own all rights, title and interest in the Services (including but not limited to, any computer code, themes, objects, concepts, artwork, animations, sounds, audiovisual effects, methods of operation, moral rights, documentation, and Social Standard software). You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying any Services.

6.2 Trademarks

Social Standard’s name and all related stylizations, graphics, logos, service marks and trade names used on or in connection with any Services are the trademarks of Social Standard and may not be used without permission in connection with your, or any third-party, products or services. Third party trademarks, service marks and trade names that may appear on or in the Services are the property of their respective owners.

6.3 Your Content

Social Standard does not claim ownership of Your Content. However, when you post or publish Your Content on or in any Services, you represent that you own or have all necessary rights to post or publish Your Content on or in the Services.

6.4 License to Your Content

Subject to any applicable Account settings that you select, you grant Social Standard a fully paid, royalty-free, worldwide, transferable, sublicensable, non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publicly perform, and publicly display Your Content (in whole or in part) for the purposes of operating and providing the Services to you and to our other Registered Users. You agree that if you post Your Content to one portion of the Services, Social Standard may use, reproduce, modify, adapt, publicly perform, and publicly display such Content to other portions of the Services. For clarity, Social Standard may reproduce and display Your Content posted on one Mobile App on the other Mobile App. Please remember that other Registered Users may search for, see, use, modify and reproduce any of Your Content that you submit to any “public” area of the Services. You agree that you, not Social Standard, are responsible for all of Your Content.

6.5 Feedback

You agree that submission of any ideas, suggestions, documents, and/or proposals to Social Standard through its suggestion, feedback, wiki, forum, or similar pages (“Feedback”) is at your own risk and that Social Standard has no obligations (including without limitation obligations of confidentiality) with respect to such Feedback. You represent and warrant that you have all rights necessary to submit the Feedback. You hereby grant to Social Standard a fully paid, royalty-free, perpetual, irrevocable, worldwide, and non-exclusive right and license to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Feedback, and to sublicense the foregoing rights, in connection with the operation and maintenance of the Services and/or Social Standard’s business.

7. Interactions with Other Users

7.1 The Services Are a Public Forum

The Services offer public forums and other interactive communications. Please be aware that these features are public or may be subject to public access. You acknowledge that public forums offered on the Services are for public and not private communications. You are responsible for any Content you post and the consequences of posting such Content, as well as your interactions with third parties through our Services. Your use of or reliance on User Content is at your own risk, and we are not responsible for it. We reserve the right to remove without notice any Content for any reason, but we have no obligation to delete Content that you may find objectionable or offensive. Information and opinions expressed in public forums or other interactive communications by others are not necessarily ours. Social Standard and company affiliated with platform does not approve, endorse, or make any representations or warranties with respect to User Content.

7.2 Anonymity

You may not post the full name, personal or biographical information, address, phone number, social media handle, photograph, or any other personally identifiable information about yourself or anyone else on the Services.

7.3 User Responsibility

You are solely responsible for your interactions with other Registered Users and any other parties with whom you interact; provided, however, that Social Standard and company affiliated with platform reserves the right, but has no obligation, to intercede in such disputes. Such dealings are solely between you and such third parties. Please use respect when you interact with others through our Services. We urge you to be cautious about these interactions. You agree that Social Standard and company affiliated with platform will not be responsible for any liability incurred as the result of such interactions. You use all User Content and interact with other Registered Users at your own risk.

7.4 No Professional Advice

The Content on the Services is provided for general informational and entertainment purposes only and should not be construed as advice. We do not warrant the accuracy, completeness, or usefulness of this information. Content on the Services is not intended to, and does not, constitute spiritual, legal, medicinal, financial or professional advice, and may not be used for such purposes. Any reliance you place on such information is strictly at your own risk.

8. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold Social Standard, its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors (each, a “Social Standard Party” and collectively, the “Social Standard Parties”) harmless from any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of any and all of the following: (a) Your Content; (b) your use of any Service in violation of the Agreement; (c) your violation of any rights of another party, including any Registered Users; (d) your violation of any applicable laws, rules or regulations; or (e) real world actions made by other persons. Social Standard reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to fully cooperate with Social Standard in asserting any available defenses. This provision does not require you to indemnify any of the Social Standard Parties for any unconscionable commercial practice by such party or for such party’s fraud, deception, false promise, misrepresentation or concealment, or suppression or omission of any material fact in connection with any Services provided hereunder. You agree that the provisions in this Section 8 will survive any termination of your Account, the Agreement, and/or your access to the Services

9. Disclaimers of Warranties and Conditions

9.1 As Is. YOU EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND WITHOUT PREJUDICE TO YOUR STATUTORY RIGHTS, YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK, AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOCIAL STANDARD EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT ARISING FROM USE OF THE SERVICES.

  1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOCIAL STANDARD MAKES NO WARRANTY, REPRESENTATION OR CONDITION THAT: (1) THE SERVICES WILL MEET YOUR REQUIREMENTS; (2) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; OR (3) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

  2. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SOCIAL STANDARD OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

  3. FROM TIME TO TIME, SOCIAL STANDARD MAY OFFER NEW “BETA” FEATURES OR TOOLS WITH WHICH ITS USERS MAY EXPERIMENT. SUCH FEATURES OR TOOLS ARE OFFERED SOLELY FOR EXPERIMENTAL PURPOSES AND WITHOUT ANY WARRANTY OF ANY KIND, AND MAY BE MODIFIED OR DISCONTINUED AT SOCIAL STANDARD’S SOLE DISCRETION. THE PROVISIONS OF THIS SECTION APPLY WITH FULL FORCE TO SUCH FEATURES OR TOOLS.

9.2 No Liability for Conduct of Third Parties

YOU ACKNOWLEDGE AND AGREE THAT SOCIAL STANDARD PARTIES ARE NOT LIABLE, AND YOU AGREE NOT TO SEEK TO HOLD SOCIAL STANDARD PARTIES LIABLE, FOR THE CONDUCT OF THIRD PARTIES, INCLUDING OPERATORS OF EXTERNAL SITES AND OTHER USERS OF THE SERVICES, AND THAT THE RISK OF INJURY FROM SUCH THIRD PARTIES RESTS ENTIRELY WITH YOU.

9.3 Third-Party Materials

As a part of the Services, you may have access to links, content, or materials that are hosted by another party. You agree that it is impossible for Social Standard to monitor such materials and that you access these materials at your own risk.

9.4 Statutory Rights

SOME JURISDICTIONS DO NOT ALLOW SOME OF THE EXCLUSIONS AND LIMITATIONS SET OUT ABOVE, SO SOME OF THEM MAY NOT APPLY TO YOU. YOU MAY BENEFIT FROM ADDITIONAL RIGHTS UNDER THE MANDATORY LAW OF YOUR COUNTRY OF RESIDENCE; THE AGREEMENT IS NOT INTENDED TO EXCLUDE OR LIMIT SUCH ADDITIONAL RIGHTS.

10. Limitation of Liabilities

10.1 Disclaimer of Certain Damages

YOU UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOCIAL STANDARD PARTIES BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE OR DATA, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES OR COSTS DUE TO LOSS OF PRODUCTION OR USE, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, IN EACH CASE WHETHER OR NOT SOCIAL STANDARD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT OR ANY COMMUNICATIONS, INTERACTIONS OR MEETINGS WITH OTHER USERS OF THE SERVICES, ON ANY THEORY OF LIABILITY. THE FOREGOING LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY OF A SOCIAL STANDARD PARTY FOR (i) DEATH OR PERSONAL INJURY CAUSED BY A SOCIAL STANDARD PARTY’S NEGLIGENCE; (ii) A SOCIAL STANDARD PARTY’S FRAUD OR FRAUDULENT MISREPRESENTATION; OR (iii) ANY OTHER LIABILITY WHICH IT IS NOT LAWFUL TO EXCLUDE.

10.2 User Content and Actions

EXCEPT FOR SOCIAL STANDARD’S OBLIGATIONS TO PROTECT YOUR PERSONAL DATA AS SET FORTH IN SOCIAL STANDARD'S PRIVACY POLICY, SOCIAL STANDARD ASSUMES NO RESPONSIBILITY FOR OTHER USER'S ACTIONS AND ASSUMES NO RESPONSIBILITY FOR THE TIMELINESS, DELETION, MIS-DELIVERY OR FAILURE TO STORE ANY CONTENT (INCLUDING, BUT NOT LIMITED TO, YOUR CONTENT AND USER CONTENT) OR USER COMMUNICATIONS.
